Lead Forge (Powered by Adserve Pros) — Lead Delivery Only

These Terms apply to lead delivery services (“Services”) provided by Lead Forge – powered by Adserve Pros (“Lead Forge”) to the purchasing client (“Client”) under the applicable proposal/order (“Contract”). Questions: [email protected].

1) Service: Lead Delivery Only

  • Lead Forge will deliver leads generated from Lead Forge’s own sources as described in the Contract (“Leads”).

  • This is lead delivery only. Unless specifically stated in writing, Lead Forge is not providing ad management, landing pages, CRM setup, creative, call tracking, sales support, or consulting.

  • Client is responsible for contacting and converting Leads.

2) Lead Definition & Delivery

  • The Contract defines the lead type, required fields, service area, pricing, volume (if any), and delivery method (email/CSV/webhook/CRM import).

  • Delivery starts after payment clears and Client provides required routing info (e.g., lead email, phone, territory).

3) Payments & Late Fees

  • Payments are electronic (card/ACH). No cash or checks.

  • Invoices are due within 5 calendar days of the due date.

  • Overdue balances incur $50/month or 1.5% per month (whichever is greater).

  • Lead Forge may pause lead delivery if payment is late or fails.

4) Client Responsibilities

Client is responsible for:

  • Speed-to-lead follow-up and sales process.

  • Maintaining accurate routing/contact info and ensuring systems can receive Leads.

  • Compliance with all laws and rules for contacting Leads (including TCPA/CAN-SPAM and any industry licensing/advertising rules).

5) No Guarantees

  • Lead Forge does not guarantee appointments, revenue, or close rates.

  • Lead volume and results can vary due to market conditions and Client follow-up performance.

6) Lead Issues & Replacement Policy (Simple)

Unless the Contract states otherwise:

  • Client must report lead issues within 5 business days of delivery.

  • A lead may qualify for replacement only if it is:

  1. Duplicate (same person) previously delivered to Client within 30 days, or

  2. Invalid contact (wrong/disconnected number or undeliverable email), or

  3. Out of territory (outside the geographic area defined in the Contract).

  • Leads are not eligible for replacement due to: no answer, not interested, can’t afford, didn’t close, or slow follow-up.

7) Term, Billing (If Subscription), and Cancellation

  • If subscription-based, billing is automatic every 30 days to the card on file.

  • Cancellation requires 60 days’ written notice unless the Contract states otherwise.

  • If a renewal payment fails, Lead Forge may pause delivery after 2 days until current.

8) No Refunds

  • All sales are final. No refunds once payment is processed.

9) Chargebacks

  • Chargebacks (or threats) are a breach of these Terms. Client agrees to contact Lead Forge first to resolve issues in writing.

  • Lead Forge may pursue lawful remedies for unpaid balances and documented abuse.

10) Relationship

  • Lead Forge is an independent contractor (not an employee/partner of Client).

11) Disputes (Arbitration — Wisconsin)

All disputes will be resolved by binding arbitration in Wisconsin under AAA Commercial Arbitration Rules. Arbitration is confidential, and the arbitrator may award costs and reasonable attorneys’ fees.

12) Miscellaneous

  • If any provision is unenforceable, the remainder stays in effect.

  • Lead Forge may update Terms; the version in effect at purchase governs unless required by law.
